AGNC completed its initial public offering in May 2008 at a price of $20.00 per common share.

AGNC completed its management internalization in July 2016 and changed its name to AGNC Investment Corp. from American Capital Agency Corp. in September 2016.

4. What does AGNC do?

AGNC is a leading internally managed mortgage REIT that invests predominantly in Agency residential mortgage-backed securities (Agency MBS) guaranteed by a U.S. Government-sponsored enterprise (GSE), such as Fannie Mae and Freddie Mac, or a U.S. Government agency, such as Ginnie Mae, on a leveraged basis. We may also invest in other types of mortgage and mortgage-related securities, such as credit risk transfer securities (CRT), non-Agency residential and commercial MBS, and other assets related to the housing, mortgage, or real estate markets that are not guaranteed by a GSE or U.S. Government agency.

As a leading provider of private capital to the U.S. housing market, we enhance liquidity in the residential real estate mortgage markets and, in turn, facilitate homeownership in the U.S. Our principal objective is to generate favorable long-term stockholder returns on a risk-adjusted basis with a substantial dividend yield component. We generate income from the interest earned on our investments, net of associated borrowing and hedging costs, and net realized gains and losses on our investment and hedging activities. We fund our investments primarily through collateralized borrowings structured as repurchase agreements, which typically offer highly attractive financing rates due to the high investment quality of our Agency MBS assets.

5. What is a REIT?

A real estate investment trust (REIT) is a company that owns, operates, or finances real estate or real estate-related assets. REITs receive a special tax status under the Internal Revenue Code of 1986, as amended, and are generally not subject to U.S. federal or state corporate income tax as long as they continue to qualify as a REIT and distribute at least 90% of their taxable income to stockholders annually in the form of dividends. To continue to qualify as a REIT, the company must also satisfy several quarterly asset and annual income tests.

REITs provide large and small investors alike an opportunity to invest in income-producing real estate or real estate-related assets without actually buying, managing, or financing real estate themselves. Investors can invest in REITs by purchasing individual company stock or through a mutual fund or exchange-traded fund (ETF).

There are two main types of REITs – mortgage REITs and equity REITs – which are discussed further in the following question.

6. What are the differences between a mortgage REIT and an equity REIT?

Mortgage REITs (mREITs) provide financing for real estate by investing in, originating, or servicing residential or commercial mortgages, mortgage-backed securities (MBS), or other mortgage-related assets. Mortgage REITs earn interest income on these mortgage-related assets. While some mREITs may own properties as a small percentage of their overall portfolio, most mREITs do not own or operate physical real estate assets. The major risks that mREITs must manage are interest rate risk and, to the extent their investments are not Agency-backed, credit risk in the event of default by the underlying borrower. Spread risk is also inherent to the mREIT business model, and typically risk management strategies are generally not designed to protect mREITs against spread risk.

Equity REITs own and often operate physical real estate assets across a range of real estate sectors, such as office buildings, healthcare facilities, shopping centers, and apartment complexes. Equity REITs typically generate rental income from the properties they own. Equity REITs tend to be more cyclical in nature than mortgage REITs, and the major risks that equity REITs must manage are those related to property values, rental rates, vacancy trends, and credit risk of property tenants.
